It sounds like a wonderful opportunity but I can't help in the least...but.... My company was "acquired" about ten years ago in an offer that I couldn't refuse. I had hoped when I started the business that in ten years or so I would be bought out but I guess I was giving the competition a good run and they wanted me out of the way. As in many situations like this they wanted to keep me on to insure the operation ran smoothly but within a year I left. Their idea and philosophy of business and responsibility to the customer...as well as their willingness to abide by contractual agreements left a very sour taste in my horticultural mouth. We went our separate ways and within a year the division that I was to run collapsed.
Similar stories are plentiful...if you can you may want to ask what happened to Brent Heath when White Flower Farm absorbed his nursery in a 'friendly' take over that went very, very bad.
Don't want to be negetive....this can and should be a wonderful opportunity...but get very, very good legal advise....maybe twice.
