Andrew gave you some good avice, in that you should talk to an attorney with experience doing small business mergers & acquisitions. Also looking into the war stories from others, a'la Brent & Becky's bulbs with White Flower Farm will give you a few insights, though I would caution you to seek both sides of any story (including that one).
Speaking as one who has been on both the acquiring side and the selling side, a seller/entrepreneur who stays on as an adviser very easily turns into a legend in his own mind, who doesn't want to accept the fact that he is no longer an omnipotent owner, but now an employee, one among many, and not one with any final say. I have seen many of these deals turn sour, and then get blamed on the big bad buying corporation who had the "wrong" ideas on how to run "my" company, when it was a two way street, with a former owner balking at taking the steps to move his former baby in a direction he never would have, whether for good reasons or bad.
